Limited Liability Partnership (LLP) is a new form of business that is a mixture of a company and a partnership firm. While it has the benefits and features of a private limited company, it can be operated flexibly like a normal partnership.

Documents required for registering LLP in India

For registration of LLP, documents of both partners as well as partnership firm have to be submitted.

A.   Documents of Partners

  1. ID Proof of Partners – All partners are required to provide their PAN at the time of LLP registration. The PAN card acts as the primary ID proof.
  2. Address Proof of Partners–The partner can submit any of the voter ID, passport, driving license or Aadhaar card. The name and other details should be exactly the same according to the address proof and PAN card. If the address proof and PAN card have different spelling of their own name or father's name or date of birth, this should be corrected before submission to the ROC.
  3. Residence Proof of Partners–The latest bank details, telephone bill, mobile bill, electricity bill or gas bill should be submitted as proof of residence. Such a bill or statement should not be more than 2 months old and it should have the name of the partner as indicated on the PAN card.
  4. Photograph–Participants should provide their passport size photograph, preferably on a white background.
  5. Passport (Foreign Nationals/ NRIs) - To become a partner in the Indian LLP, foreign nationals and NRIs must submit their passports compulsorily. Passports should be notarized or apostled by such foreign nationals and the concerned authorities in the country of the NRI, otherwise the Indian embassy located in that country can also sign the documents.

Foreign nationals or NRIs will also have to submit proof of address which will be a driving license, bank statement, residence card or any government-issued identity proof along with the address.

B.  Documents of LLP

1.Proof of Registered Office Address

Proof of registered office has to be produced during registration or within 30 days of its incorporation.

If the registered office is hired, the rent agreement and no objection certificate from the landlord will have to be submitted. The NOC will be the consent of the landlord to allow the LLP to use the place as a 'Registered Office'.

In addition, any of the utility bills such as gas, electricity, or telephone bills have to be submitted. The bill should contain the full address of the premises and the name of the owner and the document should not be more than 2 months old.

2.Digital Signature Certificate

One of the designated partners will also have to opt for a digital signature certificate as all documents and applications will be digitally signed by the authorized signatory.
